Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of RateBizz (“we,” “us,” “our”), including our website, dashboard, APIs, and related services (collectively, the “Service”). By creating an account, signing in, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of the Service

RateBizz helps businesses manage Google Business Profile (Google My Business) reviews, generate AI-assisted replies, sync review data, and view analytics. Features available to you depend on your subscription plan, credit balance, and connected locations.

3. Accounts & Access

  • You must provide accurate account information and keep your email address current. Sign-in is provided via email magic links (and supported OAuth providers where enabled).
  • You are responsible for activity under your account and for safeguarding access to your email inbox used for authentication.
  • You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service.
  • If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

4. Google Connections & Third-Party Services

Connecting Google Business Profile locations requires appropriate Owner or Manager permissions and is subject to Google's terms and API policies. You authorize RateBizz to access review and location data needed to provide the Service. We do not control Google's availability, quotas, or changes to their APIs. Disconnecting a location stops sync for that location according to our product behavior.

5. AI Features & Credits

  • AI-generated replies are suggestions. You are responsible for reviewing, editing, and approving content before posting to Google or elsewhere.
  • AI actions consume plan credits as described in-product. Credits typically reset with your billing cycle according to your plan; unused credits generally do not roll over unless we state otherwise.
  • We do not guarantee that AI output is error-free, unique, or suitable for every situation. Do not rely on AI replies for legal, medical, or other professional advice.

6. Subscriptions, Billing & Trials

Paid plans, trials, upgrades, and downgrades are billed according to the plan you select and our billing provider's processes. Plan limits (for example locations and credits) apply as shown in your account. Fees are generally non-refundable except where required by law or expressly stated by us. We may change pricing with notice as required; continued use after changes take effect constitutes acceptance where permitted by law.

7. Acceptable Use

You agree not to:

  • Violate laws, Google policies, or third-party rights when posting replies or using review data.
  • Attempt to reverse engineer, abuse rate limits, probe, or disrupt the Service or related systems.
  • Upload malware, scrape beyond authorized APIs, or use the Service to spam, harass, or misrepresent affiliation with RateBizz or Google.
  • Resell or provide the Service to third parties except as allowed by your plan (for example Enterprise white-label features, if offered).

8. Your Content & License

You retain ownership of content you submit (including business information and replies you approve). You grant RateBizz a limited license to host, process, and display that content solely to operate and improve the Service. Review content synced from Google remains subject to Google's terms and the rights of original authors.

9. Intellectual Property

The Service, including software, branding, and documentation, is owned by RateBizz and its licensors. Except for the limited rights to use the Service under these Terms, no intellectual property rights are transferred to you.

10. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT SYNCED DATA OR AI OUTPUT WILL BE COMPLETE OR ACCURATE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RATEBIZZ AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO RATEBIZZ IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF YOU HAVE NOT PAID ANY FEES.

13. Indemnification

You agree to defend and indemnify RateBizz against claims arising from your use of the Service, your replies or content, your violation of these Terms, or your misuse of Google or other third-party platforms, except to the extent caused by our willful misconduct.

14. Suspension & Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, abuse, legal risk, or to protect the Service. Upon termination, your right to use the Service ends; provisions that by nature should survive (including liability limits and IP) will survive. Data retention after cancellation is described in-product and in our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with an updated “Last updated” date. Material changes may be communicated by email or in-app notice. Continued use after the effective date constitutes acceptance where permitted by law.

16. Governing Law

These Terms are governed by the laws applicable in the jurisdiction where RateBizz primarily operates, without regard to conflict-of-law rules, except where mandatory consumer protections in your country require otherwise. Courts in that jurisdiction will have exclusive venue, subject to those consumer protections.
